Technologies Inc. in an all-stock deal, reflecting an equity valuation of $556M for VivoPower and $578M for FAST. FAST is a Canadian headquartered hydrogen technology company that converts internal combustion engine vehicles to run on hydrogen, with offices and factory locations in Canada and Japan. A December 31 target completion date is conditional upon the consummation of the previously announced business combination transaction between Tembo and Cactus Acquisition Corp. 1 Ltd., a minimum of $20M net cash at closing, and other conditions. The proposed merger will include the issuance of 5.72M restricted new shares in VivoPower ( VVPR ) to FAST shareholders; the company said the implied value of its current outstanding shares at the $538M merger equity value is ~$101/share.
