Shareholders will vote on Friday for either the MNC Capital offer to buy all of Vista Outdoor ( VSTO ) for $43 per share, or for CSG's offer to acquire The Kinetic Group for $2.15B and make an investment of $150M in the remaining Revelyst business for a 7.5% stake. "In light of the uncertainty regarding Revelyst's valuation in the public markets, an all-cash transaction would appear to be the superior alternative for shareholders," ISS said in its recommendation," according to the recommendation being circulated among traders on Monday. "If the timing for such a deal proves too complicated, shareholders should consider that MNC has declared its commitment t o maintain its $43.00 all-cash offer," ISS also wrote in its recommendation. "In light of this optionality, shareholders are recommended to vote against the proposed transaction with CSG at this time, but to support the adjournment proposal as a way of encouraging the board to continue discussions with the PE firm."
