(together with AmeriGas Partners, the "Offerors"), have commenced an offer to purchase for cash up to $450,000,000 of the outstanding aggregate principal amount of the Offerors' 5.500% Senior Notes due 2025 (the "Notes"), upon terms and subject to the conditions set forth in the Offer to Purchase, dated June 11, 2024 (as may be amended or supplemented from time to time, the "Offer to Purchase") (the "Offer"). Notes validly tendered and not validly withdrawn at or prior to 5:00 p.m., New York City time, on June 25, 2024 (the "Early Tender Deadline") will be eligible to receive a purchase price of $1,005 per $1,000 principal amount of Notes tendered, including an early tender payment of $50 per $1,000 principal amount of the Notes tendered. Notes validly tendered and not validly withdrawn after the Early Tender Deadline but at or prior to 5:00 p.m., New York City time, on July 11, 2024 (the "Expiration Time") will be eligible to receive a purchase
