Target ( TH ) in April formed a special committee to evaluate the takeover offer from Arrow Holdings. Back in March, Arrow Holdings, an affiliate of TDR Capital, offered to buy all of the outstanding shares of Target Hospitality ( TH ) for a cash consideration of $10.80 a share. In connection with its review of the offer, the special committee launched a formal process to solicit offers for the company and invited Arrow to participate in such a process. However, no formal offers were received and Arrow did not reaffirm the TDR Offer or advance any alternative proposal. Shares fell over in premarket trading in response. The company said it will continue to focus on allocating capital to high return initiatives, including in-organic growth. It also reaffirmed its outlook for this year.
