the shareholders of the Company (the " Shareholders ") have approved the proposed plan of arrangement (the " Arrangement ") with Silvercorp Metals Inc. (" Silvercorp ") at the annual and special meeting of Shareholders held on June 26, 2024 (the " Meeting The special resolution approving the Arrangement (the " Arrangement Resolution ") was approved at the Meeting by (i) 99.975% of the votes cast by Shareholders, holders of options of Adventus and holders of restricted share units of Adventus (collectively, the " Voting Securityholders ") present or represented by proxy at the Meeting; and (ii) 99.966% of the votes cast by Shareholders present or represented by proxy at the Meeting, excluding votes cast by Silvercorp and its affiliates, as detailed below.
