(NYSE: PSQH) ("PublicSquare," or the "Company"), America's leading commerce and payments ecosystem valuing life, family, and liberty, today announced that it has entered into definitive agreements for the purchase and sale of an aggregate of 7,813,931 shares of its Class A common stock at a purchase price per share of $4.63, for gross proceeds of approximately $36.2 million in a registered direct offering. The offering is expected to close on or about December 5, 2024, subject to the satisfaction of customary closing conditions.Roth Capital Partners is acting as the exclusive placement agent for the offering.The gross proceeds from the offering to the Company are expected to be approximately $36.2 million, before deducting placement agent’s fees and other offering expense payable by the Company.
