The company has priced 2.40 million common shares, each accompanied by series A and series B warrants. These warrants allow the purchase of up to an additional 2.40 million common shares each. The offering price for each common share, along with its accompanying series A and B warrants, is set at $1.04. Gross proceeds from the offering are expected to be approximately $2.5 million. Each series A warrant is exercisable upon receipt of shareholder approval for one share of common stock at an exercise price of $1.04 per share and will expire five years from the effective date of shareholder approval. Each series B warrant is exercisable upon receipt of shareholder approval for one share of common stock at an exercise price of $1.04 per share and will expire two years from the effective date of shareholder approval.
