La Comisión de Promoción y Defensa de la Competencia (Coprodec), adscrita al Ministerio de Economía y Finanzas, rechazó en mayo pasado la solicitud de Minerva presentada en 2023, aduciendo riesgos de monopolio, una decisión que ratificó en diciembre tras la apelación de la empresa. Minerva propuso ahora la adquisición de las plantas de Marfrig en los departamentos de San José, Salto y Colonia en los términos planteados originalmente, pero "condicionada" a la reventa de forma inmediata del frigorífico en Colonia al grupo de origen indio Allana. Así lo anunciaron Minerva y Marfrig en sendos comunicados fechados el 11 de febrero, aunque Marfrig aclaró que no tendrá "ninguna participación" en la transacción entre Minerva y Allana.
