the "Company") , a leading international provider of truck cranes, specialized industrial equipment, and construction equipment rental solutions to infrastructure and construction markets, today held its special meeting of shareholders (the "Special Meeting") to consider three proposals relating to the previously announced Agreement and Plan of Merger, dated September 12, 2024 (as it may be amended from time to time in accordance with its terms, the "Merger Agreement"), by and among the Company, Tadano Ltd. ("Tadano") and Lift SPC Inc., a wholly owned subsidiary of Tadano ("Merger Sub"). On the terms and subject to the conditions of the Merger Agreement, Merger Sub will merge with and into the Company (the "Merger"), with the Company continuing as the surviving corporation and a wholly owned subsidiary of Tadano.
