The company entered into a definitive agreement for the purchase and sale of 1,633,987 shares of common stock at a purchase price of $3.06 per share. In a concurrent private placement, the company will offer unregistered warrants to purchase up to 4,551,019 shares of common stock at an exercise price of $3.06 per share. The gross proceeds to the company from the offering are expected to be approximately $5M; net proceeds will be used for working capital and other general corporate purposes.
