The company said under the new merger terms, Liberty Broadband common stock holders would receive 0.2900 of Charter Class A common stock in exchange for each share of Liberty Broadband common stock, which now includes GCI. Charter had initially sent Liberty an offer to buy out the non-GCI portion of Liberty Broadband for 0.228 shares of Charter for every share of Liberty Broadband. Analysts at Barclays think the deal is likely about simplifying the holding structure of the company, from Charter's point of view. They said Charter's initial proposal seems to have implied a roughly 10-12% discount to Liberty's intrinsic value of its Charter holding. Liberty's counter, on the other hand, implicitly seems to be embedding a premium.
