WATSONVILLE, Calif.--(BUSINESS WIRE)--Granite Construction Incorporated (NYSE: GVA) (“Granite”) today announced the pricing of its previously announced offering of $325 million aggregate principal amount of 3.25% Convertible Senior Notes due 2030 (the “Convertible Notes”). In connection with the offering of the Convertible Notes, Granite granted the initial purchasers of the Convertible Notes the right to purchase up to an additional $48.75 million aggregate principal amount of Convertible Notes. The sale of the Convertible Notes is expected to close on June 11, 2024, subject to customary closing conditions.The Convertible Notes will bear interest at a rate of 3.25% per annum, payable semi-annually in arrears on June 15 and December 15 of each year, beginning on December 15, 2024. The Convertible Notes will mature on June 15, 2030, unless earlier converted, redeemed or repurchased in accordance with their terms. The Convertible Notes will have an initial conversion rate of 12.8398
