WATSONVILLE, Calif.--(BUSINESS WIRE)--Granite Construction Incorporated (NYSE: GVA) (“Granite”) today announced that it has closed its offering of $373.75 million aggregate principal amount of 3.25% Convertible Senior Notes due 2030 (the “Convertible Notes”) for gross proceeds of $373.75 million. The proceeds include the full exercise of the option by the initial purchasers to purchase an additional $48.75 million aggregate principal amount of the Convertible Notes granted by Granite to the initial purchasers. The Convertible Notes were sold in a private offering to persons reasonably believed to be qualified institutional buyers pursuant to Rule 144A under the Securities Act of 1933, as amended (the “Securities Act”).Granite estimates that the net proceeds from the offering were approximately $364.2 million, after deducting the initial purchasers’ discount and estimated offering expenses payable by Granite.
