purchase 5.33M shares of common stock in a registered direct offering at a price of $0.75 per share, along with Series A warrants to purchase up to an aggregate of 5.33M shares of common stock and Series B warrants to purchase up to an aggregate of 5.33M shares of common stock in a concurrent private placement. Each of the Series A warrants and Series B warrants will have an exercise price of $0.7981 and will be exercisable six months from the date of issuance. The Series A warrants will expire on the five and one half-year anniversary from the date of issuance, and the Series B warrants will expire on the two and one half-year anniversary from the date of issuance. The gross proceeds to the company from the registered direct offering and concurrent private placement of warrants are estimated to be about $4 million. The offering is expected to close on or about August 27. Maxim Group LLC is acting as the sole placement agent in connection with the registered direct offering
