that it intends to complete a non-brokered private placement (the " Private Placement ") of up to 25,000,000 units (each, a " Unit ") at a price of $0.04 per Unit for aggregate gross proceeds of up to $1,000,000. There is no minimum subscription amount. Each Unit will be comprised of one common share in the capital of the Company (a " Common Share ") and one Common Share purchase warrant (a " Warrant "). Each Warrant entitles the holder thereof will be exercisable into one Common Share at a price of $0.06 per Warrant for a period of 36 months from the date of issuance. The net proceeds of the Private Placement will be used to advance permitting and exploration of its wholly owned development properties in California, each of which are described further below, and for working capital and general corporate purposes.
