market conditions and other factors, $350 million aggregate principal amount of Convertible Senior Notes due 2030 (the "Notes") in a private offering (the "Offering") to persons reasonably believed to be qualified institutional buyers pursuant to Rule 144A under the Securities Act of 1933, as amended (the "Securities Act"). In connection with the Offering, Centrus expects to grant the initial purchasers of the Notes an option to purchase, for settlement within the 13-day period beginning on, and including, the date on which the Notes are first issued, up to an additional $52.5 million aggregate principal amount of the Notes on the same terms and conditions. The Notes will pay interest semiannually in arrears on May 1 and November 1 of each year, beginning on May 1, 2025 . The Notes will mature on November 1, 2030 , unless earlier repurchased, redeemed or converted in accordance with their terms prior to such date.
