an aggregate of 2,500,000 shares of its Class A Ordinary Shares (“the Offering ”), all of which are being offered by BRIA at a public offering price of $4.00 per share. In addition, the Company has granted the underwriters a 45-day option to purchase up to an additional 375,000 shares of its Class A Ordinary Shares at the initial public offering price (“the Overallotment ”), less underwriting discounts and commissions. The gross proceeds to BRIA from the Offering (assuming that the Overallotment is not exercised), before deducting underwriting discounts and commissions and estimated offering expenses payable by BRIA, is expected to be approximately $10,000,000. The shares are expected to begin trading on the NYSE American under the ticker symbol “BRIA” on November 27, 2024.
