"The merger proxy established up to $200M worth of revenue subject to potential divestiture during “best efforts to obtain approvals,” we have viewed optical design as one of the obvious areas given some overlap with Ansys portfolio, so this doesn't come as surprise (and Keysight seemed most logical suitor)," analyst Joe Vruwink wrote in an investor note. Vruwink has an Outperform rating on both Synopsys and Ansys. As part of the deal, Synopsys will sell its Optical Solutions Group, which includes products such as Code-V (imaging system design), LightTools (Illumination design), LucidShape (automotive lighting design), RSoft (photonic device tools), and ImSym (virtual prototyping for imaging systems). Ansys acquired its own optical solution portfolio in 2018, paying roughly $800M for it. Synopsys management has continued to say that the regulatory review process for its Ansys deal is “progressing well,” Vruwink added. The deal is expected to close in the first half of next year,
